Loan and Financing Law in Nepal

Common loan types offered by BFIs include:

• Personal loans — for individual needs (education, medical, marriage)
• Home loans — residential property purchase or construction (up to 80% LTV for first-time buyers)

The general process:

When a borrower fails to repay:

• BFI issues demand notices and reminders

The Debt Recovery Tribunal is a specialized judicial body established under the Debt Recovery Act, 2058 (2002) to handle loan recovery cases for banks and financial institutions. The DRT has three members: a law member (chairperson), a banking member, and an accounts member. Cases must be resolved within 150 days from the defense deadline. The DRT can issue interim orders to freeze property, order asset seizure, and approve compromise settlements. Appeals go to the Appellate Debt Recovery Tribunal within 15 days (borrower must deposit 30% of the recoverable amount).

The Secured Transactions Act, 2063 (2006) provides the legal framework for creating, registering, and enforcing security interests in movable and immovable property used as loan collateral. It establishes a registration system for security interests, defines the priority of claims among multiple creditors, and outlines enforcement procedures when borrowers default. This Act is critical for BFIs to protect their lending by ensuring legal priority over collateral.

The Credit Information Bureau of Nepal, regulated under the Credit Information Act, 2076 (2019), maintains records of borrower credit history, outstanding loans, defaults, and blacklisting status. All BFIs must check the Bureau before approving loans. The Bureau helps lenders assess creditworthiness and prevents over-borrowing. Borrowers have the right to access their own credit reports and dispute inaccuracies.

NRB Unified Directives regulate:

• Single borrower limit — maximum loan to one borrower/group
• Sectoral lending caps — limits on real estate, margin lending
• Loan-to-value ratios — 80% for first-time home (up to NPR 30M), 50% for general residential, 70% for licensed real estate developers
• Margin lending cap — NPR 250 million per borrower across all BFIs
• Interest rate guidelines — base rate + spread model
• Loan classification and provisioning — 1% to 100% based on overdue status
• Priority sector lending — mandated allocation to agriculture, energy, tourism

NRB mandates a base rate + spread system for interest rate determination. BFIs must publish their base rates and cannot charge interest exceeding prescribed spreads. Interest rates in Nepal often exceed double digits for risky loans. The Muluki Civil Code, 2074 also contains provisions on interest rate limits for non-banking lending. Borrowers should compare rates across BFIs as they vary by institution, loan type, and collateral quality.

Foreigners face restrictions on borrowing in Nepal. Foreign exchange regulations and NRB directives limit lending to foreign nationals. However, foreign-invested companies registered in Nepal can access commercial loans from Nepali BFIs, subject to NRB approval and the Foreign Investment and Technology Transfer Act. External commercial borrowing (loans from foreign banks) requires NRB approval.

Project finance is a specialized loan structure where the BFI lends based on the projected cash flows of a specific project (e.g., hydropower, infrastructure, manufacturing) rather than solely on the borrower's general creditworthiness. The project assets serve as collateral. Project finance is common for large-scale infrastructure projects in Nepal, where the Power Purchase Agreement (PPA) provides revenue certainty for lenders.

Borrowers are protected by:

• Right to clear disclosure of all loan terms, interest rates, and fees
• Right to receive proper notice before collateral seizure
• Right to access credit reports and dispute inaccuracies
• Right to appeal DRT decisions (with 30% deposit)

• Right to compromise settlement at any stage of DRT proceedings

NRB requires BFIs to classify loans and maintain provisions:

• Performing (Pass) — current on payments → 1% provisioning
• Substandard — overdue 3–6 months → 25% provisioning
• Doubtful — overdue 6–12 months → 50% provisioning
• Loss — overdue 12+ months → 100% provisioning
